Aalberts extraordinary general meeting of shareholders
Today, Aalberts N.V. is publishing the notice convening the meeting and the accompanying documents for the extraordinary general meeting of shareholders (EGM), to be held on 13 October 2025 at 11:00 am CEST at the head office of Aalberts.
It is proposed to appoint Mrs. S. Kahle-Galonske and Mrs. P. Mayer as members of the Supervisory Board, which will be put to the vote at the EGM. The proposed appointment will take effect from the closure of the EGM and will end after the closing of the annual general meeting to be held in 2029.
The extensive experience of Mrs. Kahle-Galonske in the semiconductor industry is a welcome complement to the Supervisory Board. Mrs. Kahle–Galonske currently serves as Chief Financial Officer of Egon Zehnder International AG. Prior thereto, she held the position of Chief Financial Officer at Markem-Imaje AG, part of Dover Corporation, a global manufacturer of industrial printers and consumables for the packaging sector. Mrs. Kahle-Galonske worked for many years in different roles at NXP Semiconductors N.V., where she held senior leadership roles. Mrs. Kahle-Galonske is currently member of the supervisory board of ASM International N.V., where she previously served as Chair of the Audit Committee. She is former non-executive board member of Micronas Semiconductor Holding AG.
The extensive experience of Mrs. Mayer in the automotive supply industry is a welcome complement to the Supervisory Board. Mrs. Mayer currently serves as COO of Deutz AG, a company that specialises in engines, alternative drive systems and infrastructure powering vehicles and machinery. She was the former Senior Vice President of ZF Group, TRW Automotive GmbH, where she was responsible for the global seat belt systems product line. Mrs. Mayer gained her doctorate in engineering sciences at the University of Stuttgart in 1997. She was the former Head R&D and Head Laboratory at Ludin Filter GmbH before she switched to the automotive industry, initially at Continental AG and then at Autoliv B.V. & Co. KG.
In accordance with applicable legal requirements in the Netherlands, the record date for the EGM is 15 September 2025, as further set out in the agenda for the EGM. At the date of convocation of the EGM, the total number of issued shares in Aalberts N.V. is 110,580,102 ordinary shares with a nominal value of EUR 0.25 each and 100 priority shares with a nominal value of EUR 1 each. Considering the number of shares held in treasury, which amount to 2,544,419 ordinary shares, the number of voting rights on the record date amounted to 108,035,683.
